1. Application and Acceptance of the Terms
These Terms and Conditions apply to the use of protected areas of the website and to contracts for twerXout® products and services, provided that they were validly incorporated before the contract was concluded. For online purchases, customers are informed of these Terms and Conditions before completing the order and are given an opportunity to view and save them.
Additional terms may apply to certain products, events, workshops, or Instructor Training. Customers will be informed of these terms before entering into the relevant contract.
Where special terms apply to a specific offer, they supplement these Terms and Conditions. In the event of a conflict, the terms expressly agreed for the specific offer take precedence.
2. Website and Member Accounts
Public pages may be used without a Member account. Certain content, purchases, progress features, invoices, and account functions require a Member account and a valid login.
You are responsible for keeping your login details secure. Member accounts are personal and may not be sold, transferred, shared, or used by another person.
Section 15 governs the suspension and termination of accounts and access.
3. Purchases and Checkout
Purchases may include digital content, courses, choreographies, event passes, workshops, Instructor Training, license renewals, or other services offered at Checkout.
The product description, price, currency, any applicable access period, and material purchase terms are displayed before payment.
Where required by law, the total price payable, including applicable taxes and mandatory additional charges, is also stated before the order is completed.
Unless Checkout expressly states otherwise, the contract is concluded when twerXout® accepts the order at Checkout or through a corresponding confirmation.
Refunds, cancellations, event changes, and statutory withdrawal rights are governed by the separate “Cancellation Policy – Withdrawal, Refunds and Cancellations” and, where applicable, event-specific terms.
Mandatory statutory rights remain unaffected.
4. Digital Content and Member Portal
Private and paid content is licensed solely for personal use by the person who was granted access. A purchase does not transfer ownership of or intellectual-property rights in the content.
Unless twerXout® expressly provides a download function or gives written permission, private twerXout® content may not be copied, downloaded, screen-recorded, scraped, reproduced, uploaded, published, sold, shared, lent, transferred, or made available to another person.
You may not bypass access controls or share signed or personal playback links. You may not extract video or other files from the system, manipulate the player, or use automated systems to access protected content.
5. Payments, Taxes, Fees and Currencies
Payments are processed through Stripe or another payment method identified at Checkout.
Depending on the product, purchaser location, and applicable legal requirements, prices may include taxes or show them as an additional charge. The total price displayed before the order is completed under section 3 is decisive.
twerXout® generally cannot refund payment-provider, bank, or card fees, currency-conversion costs, or comparable third-party fees where twerXout® did not charge or receive a refund of those amounts.
Section 15 governs any suspension or termination of access due to failed, reversed, or disputed payments.
6. Instructor Training and Licensing
Instructor Training is designed as an online training path. It may include online materials, live online elements, examination or assessment requirements, review steps, and, where expressly offered, special live or in-person formats.
Buying Instructor Training does not guarantee certification, the grant or renewal of a license, teaching rights, public listing, income, employment, authority to represent twerXout®, an agency or partnership relationship, or any other right to represent twerXout®.
Only Licensed Instructors with a valid and active license may use the twerXout® brand to teach or promote twerXout® courses. Portal choreographies or other content may not be used or taught without Licensed Instructor status.
Licensing, brand use, Instructor Materials, license renewal, and termination are governed by the separate agreements and terms presented to the relevant Instructor Candidate or Licensed Instructor.
7. Events and Workshops
Events and workshops may take place online, live online, in person, or in hybrid form. The relevant offer states the venue, capacity, schedule, lineup, format, and booking terms.
twerXout® may make changes to the lineup, instructors or performers, schedule, capacity, format, or venue for objectively justified reasons. Such reasons may include illness or unavailability of instructors or performers, venue problems, safety requirements, official requirements, or other circumstances that could not reasonably be avoided.
Non-material changes generally include lineup changes, the cancellation or replacement of individual instructors or performers, schedule or capacity changes, and moving the venue within a radius of up to 50 km, provided that this does not make attendance significantly more difficult. Such changes generally do not create a right to cancel or receive a refund.
Material changes include moving the event or a fully booked event day to another date, cancelling the entire event or a material event day, changing an advertised in-person event to an online-only format, or materially reducing the scope of the booked services. In the event of such material changes, participants have the withdrawal and refund rights provided by applicable law.
Further information about withdrawal, cancellations, refunds, and ticket transfers for events and workshops is available in the separate “Cancellation Policy – Withdrawal, Refunds and Cancellations,” which can be viewed at any time on the twerXout® website.
Participants must treat staff, instructors, performers, and other participants with respect and comply with venue rules, safety instructions, and the law applicable at the venue.
8. Health and Physical Activity
twerXout® content, courses, workshops, and events may involve physical activity and the general risk of discomfort, overexertion, injury, or other health consequences.
You are responsible for assessing whether participation is appropriate in light of your health, physical abilities, and personal circumstances.
You should stop the activity if you experience pain, dizziness, shortness of breath, or other unusual or unsafe discomfort.
twerXout® content does not replace medical, physiotherapy, health, nutrition, or other professional advice.
No specific fitness, health, weight-loss, body, or performance results are guaranteed.
These notices do not limit statutory liability claims for damage attributable to twerXout®. Section 16, in particular, applies.
9. Acceptable Use
The website and services may not be used to:
- violate applicable law or third-party rights;
- harass, threaten, abuse, discriminate against, exploit, or endanger another person;
- deploy or upload malware, spam, scraping tools, or harmful code;
- impersonate another person or falsely claim authority that does not exist;
- misuse the twerXout® brand;
- use the twerXout® name to make prohibited medical claims, promises of results, or guaranteed claims about weight loss, income, certification, or business success.
10. Intellectual Property
twerXout GmbH and its licensors retain all rights in the website, brand, logos, videos, content, methods, teaching materials, choreographies, downloads, and other protected materials.
This also includes content provided to twerXout® by instructors, performers, or other contributors, whether free of charge or for compensation. Where twerXout GmbH does not directly own such content, twerXout® holds the contractual rights of use and exploitation required for it.
Users receive only the access and usage rights expressly granted to them.
The twerXout® brand may be used commercially only with written permission or under a valid Instructor License.
11. User-Submitted Content
The website may allow you to submit information, messages, forms, Assessment Videos, profile details, event information, support requests, or other materials.
You are responsible for the content you submit and must hold the rights and permissions required for it.
You may not submit illegal, harmful, infringing, abusive, or exploitative content, or confidential third-party content, without the required authorization.
Assessment Videos are private submissions for Certification Review and related administrative or support purposes.
twerXout® will use them for any other purpose only after obtaining separate permission for that use.
12. Photos and Videos
At events, workshops, and live events, twerXout® may take photos and videos of the event, including group, audience, and atmosphere recordings.
twerXout® may publish and use these recordings for documentation, public relations, and promotion, including on the website, social media, and other communication and marketing channels.
By booking, the participant acknowledges that twerXout® may take photos and videos during the event and use them within the scope described above.
twerXout® takes and uses recordings in accordance with applicable law. Participants' personality and data-protection rights remain unaffected.
13. Third-Party Services
twerXout® may use third-party providers for payment processing, video hosting, analytics, email delivery, electronic signatures, hosting, authentication, and other operational functions.
The third-party providers' own terms and privacy policies may also apply to the use of their services.
14. Changes to Services and These Terms and Conditions
twerXout® may change or develop the website, future offers, product structures, and prices.
Price changes generally apply only to future purchases or renewal periods and do not alter an individual purchase already concluded, unless the parties expressly and validly agree otherwise.
Purchased services may be changed only where objectively required, for example because of technical, security, or legal requirements, and where the change is reasonable for the contracting party. The change may not unreasonably impair the essential purpose of the contract.
Changes to these Terms and Conditions generally apply to future contracts. Where changes to an existing continuing obligation are necessary, twerXout® will make them only to the extent permitted by law and will notify customers of material changes or obtain renewed consent, as applicable.
The current version and its last-updated date appear with these Terms and Conditions.
15. Suspension and Termination
twerXout® may suspend or terminate accounts, access, license-related access, content access, or brand rights where an objective reason exists.
Such reasons include payment disputes, fraud, security problems, unlawful conduct, serious safety concerns, misuse, unauthorized brand use, confidentiality breaches, serious misconduct, or material breaches of these Terms and Conditions.
Where reasonable in the circumstances, the affected person will have an opportunity to remedy a curable breach before permanent termination. Serious breaches or urgent security or misuse cases may result in immediate suspension or termination.
16. Liability
Participation in courses, workshops, and events is at your own responsibility. twerXout® is not liable for injuries or health consequences caused by individual physical conditions, a participant's own participation, or failure to follow safety and health instructions, unless twerXout® caused the damage through a culpable breach of duty.
In all other respects, twerXout® excludes liability to the extent permitted by law. Mandatory statutory liability, including liability for intent or gross negligence, remains unaffected.
17. Governing Law and Venue
For consumer contracts, applicable law and venue are determined by mandatory rules of private international and procedural law.
Where a choice of law is permitted in relation to consumers, Swiss law applies. This choice of law may not deprive consumers of mandatory protections that would apply in the absence of that choice.
For cross-border consumer contracts, the law of the country where the consumer has their habitual residence may therefore apply.
The statutory venues apply to consumers. Consumers are not exclusively required to bring disputes at the registered office of twerXout GmbH in Switzerland.
Swiss law applies to contracts with entrepreneurs or business customers. To the extent permitted by law, the registered office of twerXout GmbH is the venue for such contracts.
